SEMIANNUAL REGULATORY AGENDA The Commission has authorized the publication of its Spring 2007 Regulatory Flexibility Act Agenda. The agenda is a general announcement to the public intended to provide advance notice of rulemaking actions. The agenda, which will not be available to the public until its publication, has been submitted by the Commission to the Regulatory Information Service Center for inclusion in the Unified Agenda of Federal Regulations scheduled for publication in the Federal Register in Spring 2007. (Rels. 33-8783; 34-55396; IA-2596; IC-27746; File No. S7-07-07) MARCH 19TH ROUNDTABLE: CREATING INTERACTIVE DATA TO SERVE INVESTORS On Monday, March 19, the Securities and Exchange Commission will hold a roundtable discussion on creating interactive data to serve investors. The event begins with remarks from SEC Chairman Cox and an address by Vanguard Group Chairman and CEO John J. Brennan on the use of interactive data by public companies and mutual funds to improve disclosure for individual investors. Following Mr. Brennan's remarks, John W. White, Director of the Commission's Division of Corporation Finance, will discuss the use of interactive data to create better disclosure documents. The roundtable will also feature a panel discussion on the benefits, including potential cost savings, of preparing financial reports using interactive data written in a computer language called XBRL. Panelists will include executives at public companies currently providing investors with interactive data on a test basis as part of the SEC's voluntary filing program. The panel will be moderated by Chicago Sun-Times personal finance columnist Terry Savage. Richard Bennett, Chief Executive Officer of The Corporate Library, will provide closing remarks and discuss the significance of interactive data for corporate governance. RULES AND RELATED MATTERS AMENDMENTS TO FINANCIAL RESPONSIBILITY RULES FOR BROKER-DEALERS The Commission proposed for comment amendments to its net capital (17 CFR 240.15c3-1), customer protection (17 CFR 240.15c3-3), books and records (17 CFR 240.17a-3 and 17 CFR 240.17a-4), and notification (17 CFR 240.17a-11) rules for broker-dealers under the Securities Exchange Act of 1934 (Exchange Act). The proposed amendments would address several emerging areas of concern regarding the financial requirements for broker-dealers. They also would update the financial responsibility rules. (Rel. 34-55431; File No. S7-08-07) ORDER REGARDING REVIEW OF FASB ACCOUNTING SUPPORT FEE FOR 2007 UNDER SECTION 109 OF THE SARBANES-OXLEY ACT OF 2002 The Commission has determined that the 2007 annual accounting support fee for the Financial Accounting Standards Board (FASB) is consistent with Section 109 of the Sarbanes-Oxley Act of 2002 and that the FASB may act in accordance with this determination of the Commission. (Rels. 33-8789; 34-55469) ENFORCEMENT PROCEEDINGS IN THE MATTER OF GOLDMAN SACHS EXECUTION & CLEARING, L.P. On March 14, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order Pursuant to Sections 15(b) and 21C of the Securities Exchange Act of 1934 (Order) against Goldman Sachs Execution & Clearing, L.P. (Goldman Clearing), an affiliate of The Goldman Sachs Group, Inc. According to the Order, between March 2000 and May 2002, certain of Goldman Clearing's customers unlawfully sold securities short in advance of repeat and secondary offerings in contravention of Rule 105 of Regulation M and the Commission's short sale rules. The customers conducted their trading in their prime brokerage accounts using Goldman Clearing's REDI System©, a direct market access, automated trading platform, and executed their illegal sales by falsely marking their orders to sell "long." The Order finds that Goldman Clearing's exclusive reliance on its customers' representations that they owned the offered securities they were selling was unreasonable because, for over two years, the customers' pattern of trading and Goldman Clearing's own trading records reflected that they were selling the securities in violation of Rule 105 and the Commission's short sale rules. The customers never delivered to Goldman Clearing the securities they purported to sell long, but rather, had to borrow the securities from Goldman Clearing to settle all of their sales. Goldman Clearing's records also reflected that its customers' always covered their short positions with securities they purchased in follow-on and secondary offerings after executing their sales. Had Goldman Clearing instituted and maintained procedures reasonably designed to detect these significant trading disparities, it could have discovered the pattern of unlawful trades by its customers. Accordingly, the Order finds that Goldman Clearing violated the Commission's order marking and stock loan rules by executing and settling its customers' short sales as long transactions. The Order also finds that Goldman Clearing was a cause of its customers' violations of the short sale rules. Based on the above, the Order censures Goldman Clearing and directs it to cease and desist from committing or causing any violations and any future violations of Section 10(a) of the Securities Exchange Act of 1934 and Rule 10a-1(a) thereunder, and Rules 200(g) and 203(a) of Regulation SHO. The Order also directs Goldman Clearing to pay a $1 million civil money penalty. Goldman Clearing consented to the Order without admitting or denying any of the findings in the administrative and cease-and-desist proceedings. In a separate enforcement proceeding brought by the New York Stock Exchange (NYSE) based on the same conduct, the NYSE issued a decision finding that Goldman Clearing violated the Commission's short sale rules and failed to adhere to principles of good business practices and failed to reasonably supervise its business activities. The NYSE decision censures Goldman Clearing and directs it to pay a $1 million fine in addition to the $1 million civil money penalty imposed by the Order. (Rel. 34-55465; File No. 3-12590; Press Rel. 2007-41) IN THE MATTER OF BANC OF AMERICA SECURITIES LLC On March 14, the Commission issued an Order Instituting Administrative and Cease-And-Desist Proceedings, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order Pursuant to Sections 15(b)(4) and 21C of the Securities Exchange Act of 1934 (Order) against Banc of America Securities LLC (BAS). The Order finds that, from January 1999 through December 2001, BAS experienced a breakdown in its internal controls designed to detect and prevent the misuse of material nonpublic information concerning its forthcoming equity research. As a result, in at least two instances, BAS traders improperly established proprietary positions prior to the public release of the research. During the same period, BAS fostered an environment in which BAS investment bankers inappropriately influenced equity research analysts, resulting in the publication of materially false and misleading research reports on three companies. Based on the above, the Order censures BAS and orders the firm to cease and desist from committing or causing any violations or future violations of Sections 15(f) and 15(c) of the Securities Exchange Act of 1934. Under the terms of the settlement, BAS will pay $26 million in disgorgement and penalties to benefit the firm's customers. BAS also will retain an independent consultant to conduct a comprehensive review of the firm's internal controls to prevent the misuse of material nonpublic information concerning BAS research, and will certify that it has implemented certain structural and other reforms designed to bolster the integrity of the firm's equity research. BAS consented to the issuance of the Order without admitting or denying any of the findings. (Rel. 34-55466; File No. 3-12591; Press Rel. 2007-42) IN THE MATTER OF AIRSTAR TECHNOLOGIES, INC., ET AL. An Administrative Law Judge has issued an Order Making Findings and Revoking Registrations by Default as to Five Respondents (Default Order) in the matter Airstar Technologies, Inc. The Order Instituting Proceedings alleged that Airstar Technologies, Inc., Amdiv.com, Inc., Antares Capital Corp., Bre Consulting Group, Inc., and Cerplex Group, Inc., failed repeatedly to file required annual and quarterly reports while their securities were registered with the Securities and Exchange Commission. The Default Order finds these allegations to be true and revokes the registrations of each class of registered securities of these Respondents, pursuant to Section 12(j) of the Securities Exchange Act of 1934. (Rel. 34-55470; File No. 3-12565) SEC FILES SETTLED INSIDER TRADING CHARGES AGAINST FORMER DEL LABORATORIES, INC. CHIEF FINANCIAL OFFICER The Commission today announced that it filed a settled civil action in federal district court against Melvyn Charles Goldstein (Goldstein), alleging insider trading in the common stock of Del Laboratories, Inc. (Del), a manufacturer of cosmetics and over-the-counter pharmaceuticals. The settlement is subject to Court approval. The Commission's complaint, filed in the U.S. District Court for the Southern District of New York, charges Goldstein with violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The complaint alleges that Goldstein unlawfully traded in the securities of Del, while in possession of material non-public information, one week prior to the announcement on July 2, 2004, that two companies had reached a definitive agreement to acquire Del. According to the complaint, Goldstein learned, while working at Del as a consultant in Del's Finance Department, that Del was in sales negotiations and would soon announce its plans to be acquired. Goldstein had previously been Del's Chief Financial Officer for sixteen years. By trading in advance of the public announcement of the acquisition agreement, Goldstein stood to profit by $38,308. Without admitting or denying the allegations in the complaint, Goldstein consented to entry of a final judgment, permanently enjoining him from violating Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and prohibiting him from serving as an officer or director of any publicly traded company. The final judgment against Goldstein also requires him to pay disgorgement of $38,308 plus prejudgment interest of $4,882.31 and a civil penalty of $38,308, for a total of $81,498.31. [SEC v.
