Limited Partnership Reorganizations and Public Offerings of Limited Partnership Interests

The Commission is announcing the publication of a release setting forth its views concerning existing disclosure requirements applicable to limited partnership roll-up transactions and initial public offerings of limited partnership units and other similar securities. These interpretations are necessary in order to address the concerns that have been expressed recently by investors, Congress and other interested parties. The intended effect of this release is that registrants will provide investors with clear, concise and understandable disclosure of material information about these transactions and offerings.
